1. Who we are and what this covers

These Terms of Service (the "Terms") are a binding agreement between you and King Intelligence LLC, a limited liability company formed under the laws of the State of Ohio, with its principal place of business in Hartville, Ohio ("King Intelligence," "we," "us," or "our"). You can reach us at jacob@king-intelligence.com.

These Terms govern your access to and use of the AIOS (AI Operating System) subscription service, the members portal at https://members.king-intelligence.com, the private video library and classroom, the weekly live calls, the King Intelligence plugin and marketplace for Claude Code, and any related tools, content, and services we provide (together, the "Service").

By creating an account, starting a free trial, clicking to accept, or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and authority to accept

To use the Service you confirm all of the following:

• You are at least 18 years old.
• You are using the Service for business or professional purposes, not as a consumer buying for personal, family, or household use.
• If you are accepting these Terms on behalf of a company or other organization, you have the authority to bind that organization to these Terms, and "you" refers to that organization as well as to you personally.

These representations do not waive any consumer right the law does not allow us to waive.

3. What the Service includes

A paid AIOS subscription gives you access to some or all of the following, depending on your plan:

• The members portal at https://members.king-intelligence.com.
• A private video library and classroom.
• Weekly live group calls (scheduling, cancellations, and holiday or vacation weeks are set inside the portal).
• A personal "plugin" install key that lets you install and receive updates to the King Intelligence plugin and marketplace inside Claude Code.
• A set number of support or working hours per month, which depends on your plan and resets monthly. Annual members' hours also reset monthly, not once for the whole year.

We may add to, change, or remove features of the Service over time. If we make a change that materially reduces the core value of your plan, we will give you reasonable notice.

4. Your account and login

You sign in using Google sign-in or a one-time email code. You are responsible for keeping access to your login secure and for everything that happens under your account. Tell us right away at jacob@king-intelligence.com if you believe someone has accessed your account without permission. You may not share your login, your account, or your personal plugin key with anyone else (see Section 8).

5. Free trial (no card, no charge, no automatic conversion)

We may offer a 3-day free plugin trial. Here is exactly how it works:

• Any user who logs in (using Google sign-in or an email code) may receive a personal plugin key that works for 3 days.
• The trial gives you time-limited access to the plugin so you can try it. You are not charged during the trial.
• The trial key expires automatically after 3 days. To keep using the plugin after the trial, you must sign up for a paid plan.

6. Subscriptions, billing, and automatic renewal

6.1 Plans and prices

The Service is offered as an auto-renewing subscription. Current plans and prices are:

Annual plans are also available at the prices shown in the portal at signup. Some earlier or "founding" members may be on grandfathered rates that differ from the prices above; your own current price is always shown on your billing page inside the portal.

6.2 Optional one-time Setup fee

New members can add an optional one-time Setup fee of $597 (the "Proof Run"). The Setup is offered on every plan and is never required; you choose whether to add it at checkout or later. Some earlier members are grandfathered at a different setup rate. The Setup fee is separate from, and in addition to, your recurring subscription. See the Refund Policy for how the Setup fee is treated.

6.3 Saved card and authorization to charge

When you sign up, you provide a payment card, and that card is securely saved by our payment processor, Stripe. By subscribing, you authorize King Intelligence LLC (through Stripe) to automatically charge your saved card:

• the optional one-time Setup fee, if you chose to add it, billed either at signup or after your setup session depending on how you enrolled,
• your first subscription payment, and
• each renewal payment automatically, on a recurring basis, at the start of each billing period (monthly or annual), until you cancel.

If you booked a setup session, you separately agreed at booking to pay the one-time setup fee after that session.

Your subscription renews automatically for another period unless you cancel before the renewal date. You do not need to do anything to renew; renewal is automatic.

We do not store your card details at all, not even the last four digits. Stripe stores and processes your card information. See our Privacy Policy.

6.4 Failed payments

If a renewal charge fails, we may retry the charge and may suspend or downgrade your access until payment succeeds. We may cancel a subscription that stays unpaid.

6.5 Price changes

We may change subscription prices. If we raise the price of your plan, we will give you at least 30 days' advance notice by email before the new price takes effect, so that you can cancel before your next renewal if you do not want to continue at the new price. Continuing to use the Service after a price change takes effect means you accept the new price. Existing grandfathered rates are honored as described on your billing page unless we tell you otherwise with notice.

6.6 Taxes

Prices do not include any taxes that may apply. You are responsible for any applicable taxes, other than taxes on our income.

7. Plan changes and cancellation

7.1 Upgrades and downgrades

You can change your plan yourself inside the portal:

• Upgrades take effect immediately. You are charged a prorated amount for the rest of your current billing period at the higher rate.
• Downgrades take effect at the end of your current billing period, so you keep your current level of access until the period you already paid for ends.

7.2 Cancellation

You can cancel your subscription yourself at any time through the Stripe Customer Portal, reachable from your billing page. When you cancel:

• Your subscription stops renewing.
• You keep access until the end of the period you have already paid for. We do not cut off access the moment you cancel.
• You are not charged again after the current period ends.

Cancelling your subscription does not by itself refund amounts already paid. See the Refund Policy.

7.3 What happens to your access and plugin key

When your paid access ends (because you cancelled and the period ended, or because payment failed and was not resolved), your personal plugin key stops working, and your access to the portal, the video library, and the live calls ends. Content and materials you accessed through the Service remain our property (see Section 9).

8. Acceptable use and prohibited conduct

You agree not to do any of the following, and not to help or allow anyone else to:

• Share, resell, sublicense, or transfer your personal plugin key, your login, or your account access to any other person or organization. Your key and account are for you (or your organization) only.
• Give people outside your account access to the members portal, the video library, the classroom, the live calls, or any other part of the Service.
• Copy, download, scrape, harvest, republish, or redistribute the video content, written materials, plugin code, or other materials in the Service, except as the Service is plainly meant to let you use them for your own business.
• Use any bot, scraper, crawler, or automated method to pull data or content out of the Service beyond normal permitted use.
• Reverse engineer, decompile, or try to extract source code from the plugin or the Service, except to the limited extent the law says you may despite this restriction.
• Break, probe, or get around any security, access control, rate limit, or usage limit, or try to access another member's data or account.
• Use the Service to break the law, to infringe anyone's intellectual property, to send spam, or to build or distribute anything harmful.
• Resell or repackage the Service as your own product without our written permission.

You may not upload other people's personal, health, or other regulated data into the Service. King Intelligence is not a HIPAA business associate.

We may suspend or terminate your access if you break these rules (see Section 15).

9. The plugin license, and who owns what

9.1 What we own

King Intelligence LLC owns (or licenses from others) the Service and everything in it: the plugin and marketplace, the software, the video library and classroom content, the written materials, the branding, the "King Intelligence" and "AIOS" names, and the look and feel. Nothing in these Terms transfers any of that ownership to you. All rights we do not expressly grant you are reserved.

9.2 Your license to use the plugin

While your subscription is active and in good standing, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the King Intelligence plugin and marketplace through your personal plugin key, and to use the rest of the Service, for your own internal business use only. This license ends automatically when your paid access ends. You may not do any of the prohibited things in Section 8 with the plugin or the Service.

9.3 Your content and feedback

You may input, upload, or generate content while using the Service ("Your Content"). As between you and us, you keep ownership of Your Content. You grant us a limited license to host, process, and display Your Content only as needed to provide, secure, and support the Service for you. We do not use Your Content to train artificial intelligence models. AI features run through third-party providers (see Section 10), whose handling of inputs is governed by their own terms.

If you send us ideas, suggestions, or feedback about the Service ("Feedback"), you grant King Intelligence LLC a perpetual, worldwide, royalty-free, irrevocable license to use that Feedback for any purpose, including improving the Service, with no obligation or payment to you.

10. Third-party services

The Service works together with, and depends on, third-party products we do not control, including:

• Claude Code and Claude / Anthropic. The plugin runs inside Claude Code, which is provided by Anthropic. Your use of Claude and Claude Code is also governed by Anthropic's own terms. We are not Anthropic, we do not control Anthropic's products, pricing, availability, or model behavior, and we are not responsible for them. You may need your own Anthropic account and subscription.
• Stripe, which processes payments.
• Other providers we use to run the Service (listed in our Privacy Policy).

We are not responsible for the acts, omissions, availability, pricing, or terms of these third parties. If a third-party service changes or goes down, parts of the Service may be affected, and that is outside our control.

11. Referral program

If you are an eligible member, you may participate in our referral program on these terms:

• Commission. You earn 10% of the net subscription and setup payments (payments actually received by us, after any refunds) made by each new member you refer, for as long as that referred member keeps an active paid subscription. One-off purchases, such as à la carte extra hours, do not earn commission. This is what "10% for life" means: it lasts as long as the referred member keeps an active paid subscription, not forever in any other sense, and not after they stop paying.
• Hold period. Each commission is held for 30 days before it becomes payable, to allow for refunds and disputes.
• Minimum payout. We pay out once your available balance reaches at least $25. Balances below $25 roll forward until they reach the minimum.
• How you get paid. Payouts are made by ACH bank transfer through Stripe Connect. You must complete Stripe Connect onboarding (including identity and bank details) before we can pay you.
• Public promotion. If you promote the Service publicly (social media, email, a website), you must clearly disclose that you earn a commission, for example: "I earn a commission if you sign up." This is required by FTC endorsement rules.
• Clawback / reversals. If a referred member's payment is refunded or charged back, the related commission is reversed (clawed back). If a reversal happens after we already paid you, the amount is deducted from your future commissions or otherwise recovered.
• Taxes and 1099s. Commissions are income to you. You are responsible for reporting and paying any taxes on the commissions you earn. If your earnings reach the reporting threshold, we (or Stripe) may issue you a tax form (such as a Form 1099) and may require your taxpayer information first; if you do not provide it, we may withhold payout.
• No self-dealing or abuse. You may not refer yourself, create fake or duplicate accounts, or use misleading claims to get referrals. We may deny or reverse commissions we believe are fraudulent or abusive.
• We can change or end the program. We may change, pause, or end the referral program, or change these referral terms, at any time, with notice. Commissions already properly earned and payable will be honored under the terms in effect when they were earned, subject to clawback.

12. Disclaimers of warranty

The Service is provided "as is" and "as available," with all faults, and without warranties of any kind, whether express or implied. To the fullest extent allowed by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

AI output is not guaranteed. The Service, the plugin, and the tools use artificial intelligence, including third-party AI models. AI can produce output that is wrong, incomplete, outdated, or unsuitable for your situation. We do not warrant that any output is accurate, reliable, or fit for any particular purpose. You are responsible for reviewing, verifying, and deciding whether to rely on any output before you use it, especially for anything important, financial, legal, or that affects your customers. The Service is not legal, financial, tax, or professional advice.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that it will meet your requirements.

13. Limitation of liability

To the fullest extent allowed by law:

• We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, lost goodwill, or business interruption, even if we were told such damages were possible.
• Our total liability to you for all claims arising out of or relating to the Service or these Terms is limited to the total amount you actually paid us for the Service in the 12 months immediately before the event that gave rise to the claim.

Some jurisdictions do not allow certain of these limits, so parts of this section may not apply to you. In that case, our liability is limited to the smallest amount the law allows.

14. Indemnification

You agree to defend, indemnify, and hold harmless King Intelligence LLC and its owner, members, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; Your Content; your breach of these Terms; your violation of any law or of anyone else's rights; or your participation in the referral program. We may take over the defense of any claim you are required to indemnify, and you agree to cooperate.

15. Suspension and termination

• By you. You may stop using the Service and cancel at any time as described in Section 7.
• By us. We may suspend or terminate your access, in whole or in part, at any time if you breach these Terms, if your payment fails and is not cured, if we reasonably believe your use is unlawful or harmful, or if we are required to by law. Where practical and appropriate, we will give notice.
• Effect of termination. When access ends, your plugin key stops working and your license under Section 9 ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, referral clawback, and dispute resolution) survive termination.

16. Dispute resolution and governing law

These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules.

Before filing any claim, you agree to email us at jacob@king-intelligence.com describing the dispute and to give us 30 days to work it out with you.

You agree that the exclusive venue for any lawsuit or proceeding that is permitted to go to court will be the state or federal courts located in Stark County, Ohio, and you consent to the personal jurisdiction of those courts.

Any claim arising out of or relating to these Terms or the Service must be brought within one year after the claim arises, unless the law does not allow that period to be shortened.

17. Changes to these Terms

We may update these Terms from time to time. When we make a material change, we will update the "Last updated" date and give reasonable notice (for example by email or a notice in the portal). Changes take effect when we say they do. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and cancel.

18. General

• Entire agreement. These Terms, the Privacy Policy, and the Refund Policy are the entire agreement between you and King Intelligence LLC about the Service and replace any earlier agreements about it.
• No waiver. If we do not enforce a right, that is not a waiver of it.
• Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
• Assignment. You may not assign these Terms without our consent. We may assign them, for example in connection with a sale of the business.
• Notices. We may send you notices by email or through the portal. You can reach us at jacob@king-intelligence.com.
